    User Agreement

    Effective Date: August 6, 2025

    1. Introduction

    This User Agreement (“Agreement”) is a legally binding agreement between you and Trial Lawyer’s Journal (“Trial Lawyer’s Journal,” “TLJ,” “we,” “our,” or “us”), which is owned by CloudLex, Inc. (“CloudLex”). This Agreement governs your use of our website at www.triallawyersjournal.com (the “Site”), related services, events, products, and publications (collectively, the “Services”).

    By using our Services, you agree to be bound by this Agreement, our Privacy Policy, and our Cookie Policy, each of which is incorporated into this Agreement by reference. If you do not agree, you must discontinue use of our Services immediately.


    2. Modification of Terms

    We may update this Agreement, our Privacy Policy, or our Cookie Policy from time to time. Any changes will be posted on the Site with a revised “Effective Date.” Continued use of the Services after updates are posted constitutes your acceptance of the updated terms.


    3. Eligibility & Account Registration

    • You must be at least 13 years old to use the Services.

    • Certain features require you to register for an account (“Account”).

    • You agree to provide accurate, current, and complete information and to keep it updated.

    • You are responsible for all activity under your Account and for keeping your password secure.

    • If you provide a mobile phone number, you consent to receive recurring automated text messages from TLJ unless you opt out.


    4. Content Ownership & User Submissions

    4.1 TLJ Content

    All non-user-generated content, including articles, videos, graphics, and software, is owned by TLJ, CloudLex, or our licensors.

    4.2 User Content

    If you submit articles, interviews, podcasts, videos, or other contributions (“User Content”):

    • You retain ownership of your original work.

    • You grant TLJ a perpetual, irrevocable, royalty-free, worldwide license to use, publish, reproduce, distribute, adapt, create derivative works, and display your User Content in any format or medium, now or in the future.

    • This includes use in AI model training, content repurposing, and derivative works.

    • If you wish to opt out of AI-related uses, you must notify us in writing within 30 days of submission at info@triallawyersjournal.com.

    4.3 Content Retention

    Even if you close your account or request profile removal, TLJ retains the right to keep and use your User Content indefinitely as part of our archives.


    5. Acceptable Use

    You may not:

    • Infringe on others’ intellectual property rights.

    • Post content that is unlawful, defamatory, obscene, harassing, or discriminatory.

    • Interfere with the operation or security of the Services.

    • Use bots, scrapers, or other unauthorized data collection tools.

    We may suspend or terminate your account for violations of this Agreement.


    6. Payments & Memberships

    • You agree to pay any applicable fees for memberships, events, or products.

    • All fees are non-refundable unless stated otherwise in writing.

    • We may change prices with reasonable notice.


    7. Privacy & Cookies

    Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect your information. These documents are incorporated into this Agreement by reference.


    8. Limitation of Liability

    Our Services are provided “as is” without warranties of any kind. To the fullest extent permitted by law, TLJ is not liable for indirect, incidental, or consequential damages. Our maximum liability for all claims is the greater of $50 or the amount you paid us in the 6 months preceding the claim.


    9. Governing Law

    This Agreement is governed by the laws of the United States and the state in which TLJ is headquartered, without regard to conflict of laws principles.

    11. Indemnification

    You agree to defend, indemnify, and hold harmless Trial Lawyer’s Journal, LLC, CloudLex, Inc., and their respective officers, directors, employees, agents, successors, and assigns against any loss, damage, or costs (including reasonable attorneys’ fees) incurred in connection with claims, demands, suits, or proceedings made or brought by a third party alleging that:

    1. Your use of the Services, other than in compliance with this Agreement, violates applicable law;

    2. Your User Content, or any materials you provide to TLJ, infringe the intellectual property rights of a third party;

    3. You breached any duty owed to a third party or committed any negligent or willful act, including but not limited to defamation, violation of publicity or privacy rights, or professional malpractice.


    12. Additional Definitions

    For purposes of this Agreement:

    • “User” means you and any other individual authorized by you to use the Services through your Account and to whom you have supplied a user identification and password.

    • “Customer Data” means all electronic data or information submitted by you to or via the Services.

    • “Vendor” means a third party that has a separate account with TLJ or CloudLex and has been given access to your Account by you.

    • “Vendor Data” means all electronic data or information submitted by a Vendor to or via the Services on your behalf.

    • “Malicious Code” means viruses, worms, time bombs, Trojan horses, and other harmful or malicious code, files, scripts, agents, or programs.

    • “Third Party Provider” means a third party through which your Customer Data or related functionality interoperates with the Services, or through which the Services are made available in whole or in part (including hosting, analytics, and advertising providers).


    13. Miscellaneous Provisions

    • Governing Law – This Agreement is governed by the laws of the State of New York and the federal laws of the United States applicable therein.

    • Entire Agreement – This Agreement, together with our Privacy Policy and Cookie Policy, constitutes the entire agreement between you and TLJ and supersedes all prior agreements, whether written or oral.

    • Assignment – You may not assign your rights or delegate your duties under this Agreement without our prior written consent. TLJ may assign its rights at any time. This Agreement applies to any rightful successor or assignee.

    • Third Party Providers – You acknowledge that TLJ may use third-party vendors and hosting partners to provide the hardware, software, networking, storage, and related technology and services required to operate the Services. Data transmissions, including Customer Data, may be transmitted unencrypted over various networks and adapted to technical requirements.

    • Dispute Resolution – Any dispute arising under this Agreement will be finally settled by arbitration in New York City, New York, administered by the American Arbitration Association under its Commercial Arbitration Rules, modified as follows:

      1. Arbitrators must treat as confidential all evidence and information presented, consistent with our confidentiality obligations.

      2. Arbitrators may not amend or modify the terms of this Agreement.

      3. A decision must be rendered within 10 business days of the close of proceedings.

      4. Arbitration will be conducted before a panel of three arbitrators — one selected by TLJ, one by you, and one jointly selected (or appointed by the AAA if the parties cannot agree).

    • Legal Fees – The prevailing party in any litigation or arbitration will be entitled to reasonable attorneys’ fees and costs, up to a maximum of $20,000.

    • Severability – If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.

    • No Waiver – The failure of TLJ to enforce any right or provision will not constitute a waiver of that right or provision.
